The usual solution to the incompatibility between NFS:PU and Win XP (& 2K too) is to: 1. Move or rename gimme.dll. Reduce your virtual memory settings to minimum and maximum of 128 or so. Try 255; if it still crashes, try 127. You'll need to reboot after each change.

This is a bit of a pain, but it is the only solution if you want to retain multiplayer capability. The good news is that a reboot is not required when you set it back up to its normal values after you're done playing.
